運用實地或電話訪談以及統計分析,本研究分析了157家上市公司的董監事 關係,發現上市公司董監事組成的家族成份逐漸降低中,而專業經理人的比 例在增加之中。由於上市公司常常運用投資公司或人頭隱藏真正的影響力, 董監事常常因而流於橡皮圖章,這是研究結果可能的偏失。佐之以實地訪談 ,本研究發現家族的影響力的確在降低之中,大型企業以及新成立企業尤其 明顯。

Employing field and telephone interviews and statistical analysis, this research studies the role and network structure change of the board of directors in 157 Taiwan\'s public companies. The research finds that the presence of family members in public companies\' boards is decreasing, the proportion of professional directors, on contrast, is increasing. The findings, nevertheless, might be misleading, since a controlling family might use its own investment vehicles or \"puppets\" to hide the real influences and to make a company\'s board behave as a rubber stamp. Using field interviews to compliment empirical analysis, this research concludes that family influence indeed are decreasing, especially larger size and late-founded companies.
